1. Purpose

These general terms and conditions of use, hereinafter the “Terms”, are intended to define the terms and conditions of access to and use of the website https://topcho.io (hereinafter the “Site”), published by TAWL Solutions France, operating under the commercial brand Topcho.

The Site allows users, hereinafter referred to as “Users”, to:

• consult information on pet health insurance offers for dogs and cats;

• consult information on Topcho's services, guarantees and operating principles;

• request a quote or ask to be contacted via contact forms;

• access a customer journey with a view to subscribing to an insurance contract;

• access a customer account or Customer Area, where available;

• obtain information on claims, reimbursements and policy management;

• consult informational content, including articles, guides and FAQs;

• get in touch with Topcho by email, form, telephone, messaging or any other contact method made available on the Site.

These Terms apply to all browsing on the Site and to all use of the Services.

Access to the Site implies full and complete acceptance of these Terms.

2. Definitions

For the purposes of these Terms, the terms below shall have the following meanings:

• “Site” means the website accessible at https://topcho.io.

• “Topcho” means the brand operated by TAWL Solutions France, acting as an insurance broker.

• “User” means any natural person who visits the Site and/or uses the forms, quote journey, Customer Area or means of contact offered on the Site.

• “Insurer” means Seyna, a public limited company registered with the Nanterre Trade and Companies Register under number 843 974 635, whose registered office is located at 20 bis rue Louis Philippe, 92200 Neuilly-sur-Seine, France, an insurance company governed by the French Insurance Code, offering the insurance product distributed by Topcho.

• “Services” means all functionalities accessible on the Site, including information, contact requests, quote requests, customer journey, customer account, claims information and, where applicable, connection with a view to subscribing to an insurance contract.

• “Insurance Contract” means the pet health insurance contract subscribed to by the User, where applicable, together with the applicable pre-contractual and contractual documentation.

• “Customer Area” means any personal online space made available to the User, including MyTopcho or any equivalent interface.

4. Regulatory Status

Topcho acts as an insurance broker registered with ORIAS under number 26 001 054.

Users may verify Topcho’s registration on the ORIAS register at https://www.orias.fr.

Topcho carries out its insurance distribution activity in accordance with the applicable provisions of the French Insurance Code and the rules applicable to insurance intermediaries.

5. Access to the Site

The Site is accessible to any User with internet access.

The equipment, including computer, smartphone, tablet, software, browser and internet connection, enabling access to the Site is the sole responsibility of the User, as are the communication costs related to accessing and using the Site.

Topcho makes reasonable efforts to maintain the Site accessible, but cannot guarantee continuous or uninterrupted availability.

Access to the Site may be suspended or limited, in particular for:

• technical maintenance;

• updates;

• security operations;

• technical incidents;

• force majeure;

• any event beyond Topcho’s reasonable control.

Topcho shall not be liable for any temporary unavailability, suspension or limitation of access to the Site.

6. Services Offered via the Site

The Site allows Users, in particular, to:

• discover the guarantees and operating principles of Topcho pet health insurance;

• consult information on insurance cover for dogs and cats;

• fill out a form to request a quote or more information;

• access a customer journey in order to prepare or complete a subscription;

• access a Customer Area, where available;

• obtain information on policy management, claims and reimbursements;

• get in touch with Topcho to be assisted in understanding the offer or preparing a subscription;

• access informational content, including articles, guides, FAQs and pet care content.

The information on the Site is provided for informational purposes only. It does not replace the contractual documentation, including the information notice, insurance product information document, general terms, specific terms, policy schedule or any other insurance documentation. These documents alone are binding at the time of subscription.

Any pet health, breed, prevention or care content available on the Site is provided for general information purposes only and does not constitute veterinary advice, diagnosis or treatment. Users should consult a qualified veterinarian for any question relating to the health, symptoms, diagnosis or treatment of their pet.

Topcho reserves the right to modify the content of the Site and the nature of the Services offered at any time.

7. Acceptance of the Terms

Continuing to browse the Site constitutes unreserved acceptance of these Terms.

Where a checkbox such as:

“I have read and agree to the Terms of Use.”

is present, checking this box constitutes express acceptance of these Terms.

Any User who does not accept these Terms must cease all use of the Site.

8. Use of the Site and User Obligations

The User agrees to:

• use the Site in compliance with applicable laws and regulations;

• not use the Site for fraudulent, unlawful or malicious purposes;

• not disrupt or attempt to disrupt the proper functioning of the Site, including through intrusion attempts, deliberate overloading, scraping, automated extraction or the introduction of malicious code;

• provide accurate, up-to-date and complete information when filling out a contact form, quote request, customer journey, customer account or claims-related form;

• not impersonate another person;

• not damage the image, reputation or rights of Topcho, the Insurer, partners, service providers or third parties;

• not reproduce, copy, extract, reuse or exploit all or part of the Site or its content without prior written authorisation.

The User remains solely responsible for the data communicated via the Site and for the use made of the information published on the Site.

9. Pre-contractual Information and Subscription

Through the Site, the User can:

• request detailed information on guarantees, exclusions, limits, waiting periods, eligibility criteria and reimbursement methods;

• access or be directed to the pre-contractual information documents required by the French Insurance Code;

• be directed to a customer journey or subscription pathway;

• be put in contact with Topcho to prepare a subscription to the Insurance Contract.

The subscription to the Insurance Contract and the relationship between the User, once insured, Topcho and the Insurer are governed by:

• the Insurance Contract and its documents, including the information notice, insurance product information document, general terms, specific terms and policy schedule;

• the French Insurance Code;

• any applicable mandatory legal or regulatory provisions.

These Terms do not replace, amend or override these documents.

In the event of any inconsistency between information displayed on the Site and the contractual insurance documentation, the contractual insurance documentation shall prevail.

10. Customer Area and Account Security

Where the Site allows the creation or use of a Customer Area, the User is responsible for maintaining the confidentiality of their login details, password and any authentication method used to access the account.

The User undertakes to:

• use a secure and personal password;

• keep login details confidential;

• ensure that the information in the Customer Area remains accurate and up to date;

• notify Topcho promptly in the event of suspected unauthorised access, loss of credentials or fraudulent use of the account.

Any action carried out from the User's Customer Area may be presumed to have been carried out by the User, unless proven otherwise.

Topcho may suspend, restrict or block access to a Customer Area in the event of:

• suspected fraud;

• misuse of the Site or Customer Area;

• breach of these Terms;

• security risk;

• legal or regulatory obligation;

• request from a competent authority.

11. Payments

Where payments are made through the Site or through a customer journey connected to the Site, they may be processed by secure third-party payment service providers.

Topcho does not store the User's full bank card details.

The payment terms applicable to an Insurance Contract, including premiums, payment frequency, failed payments, refunds, renewals, termination and any applicable fees, are set out in the relevant contractual insurance documentation.

The User is responsible for ensuring that the payment information provided is accurate, valid and up to date.

12. Claims and Reimbursements

The Site may provide information on how to submit claims or reimbursement requests.

Claims and reimbursement requests are processed in accordance with the terms, limits, exclusions, waiting periods and procedures set out in the Insurance Contract and related documentation.

The User is responsible for providing accurate, complete and legible supporting documents, including care forms, veterinary invoices, prescriptions and any other document requested for the assessment of the claim.

Topcho may make available forms, links or tools allowing the User to submit or follow a claim. The use of such tools does not guarantee acceptance or reimbursement of the claim.

Coverage, reimbursement and claims decisions are governed by the Insurance Contract and applicable regulations.

13. Veterinary Content

The Site may provide access to content relating to pet care and prevention.

Topcho does not provide veterinary diagnosis, treatment or prescriptions.

The content available on the Site, including articles, guides, breed descriptions, FAQs and prevention content, is provided for general information purposes only and must not be used as a substitute for professional veterinary advice.

In the event of an emergency or concern about an animal's health, the User must contact a veterinarian or emergency veterinary service immediately.

14. Third-party Services and Partners

Some Services may rely on third-party partners or service providers, including, where applicable:

• the Insurer;

• technology providers;

• subscription or customer journey tools;

• claims management partners;

• payment providers;

• electronic signature providers;

• authentication tools;

• customer support or messaging tools;

• hosting providers;

• analytics or cookie management providers.

Where Users are redirected to third-party websites, platforms or services, the terms of use and privacy policies of those third parties may apply.

Topcho does not control third-party websites or services and cannot be held responsible for their content, availability, security, terms of use or privacy practices, except where required by applicable law.

15. Topcho's Responsibility

Topcho undertakes to take reasonable care in the presentation of the Site and Services, under a best-efforts obligation.

Topcho cannot be held responsible:

• in case of unavailability of the Site, including breakdown, maintenance, update, technical incident, security operation or force majeure;

• in case of damage resulting from improper use of the Site by the User;

• in case of errors, omissions or inaccuracies in the information provided, although Topcho strives to keep it up to date;

• for decisions taken by the Insurer, including acceptance, refusal, coverage, reimbursement or claims decisions, which fall under the Insurance Contract and applicable regulations;

• for the content, availability, security or operation of third-party websites, tools or services accessible through links or integrations on the Site;

• for any indirect, consequential, incidental or unforeseeable damages.

In any event, Topcho's liability, if established, shall be limited to proven direct damages suffered by the User as a result of using the Site, subject to mandatory legal provisions applicable to consumers.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

16. Intellectual Property

The Site and all of its content, including texts, images, illustrations, logos, trademarks, videos, icons, structure, architecture, graphic charter, design, layout, software elements and databases, are protected by intellectual property laws and remain the exclusive property of Topcho or its partners, licensors or service providers.

Any unauthorised reproduction, representation, modification, adaptation, translation, distribution, extraction, reuse or exploitation, in whole or in part, of the Site or any of its elements is strictly prohibited and may constitute infringement.

17. Personal Data

In the course of using the Site, in particular through forms, quote requests, customer journey, Customer Area or contact tools, Topcho may collect and process personal data concerning the User, including identity data, contact details, information about the animal, contract information, payment or reimbursement information and browsing data.

These processing activities are carried out in accordance with:

• Regulation (EU) 2016/679 (General Data Protection Regulation – GDPR);

• the French Data Protection Act.

The purposes of processing, legal bases, retention periods, recipients of the data, possible transfers outside the European Union, as well as the rights available to the User, including access, rectification, erasure, objection, restriction and portability, are detailed in Topcho's Privacy and Cookies Policy, accessible on the Site.

20. Force Majeure

Topcho cannot be held liable if the non-performance or delay in the performance of any of its obligations under these Terms results from an event of force majeure, as defined by French law and case law.

Such events may include, without limitation, natural disasters, strikes, network failures, cyber incidents, acts of third parties, administrative restrictions, epidemics, pandemics or any event beyond Topcho's reasonable control.

21. Modification of the Terms

Topcho reserves the right to modify these Terms at any time.

The applicable version is the one in effect at the time the User browses the Site.

In the event of a material change, Topcho may inform Users by any appropriate means.

23. Applicable Law – Jurisdiction

These Terms are governed by French law.

Any dispute relating to the interpretation, validity or performance of these Terms which cannot be resolved amicably shall be submitted to the competent French courts, subject to the mandatory provisions applicable to consumers.
